BY-LAWS OF THE BACCHUS NETWORK

ARTICLE VI. EXECUTIVE COMMITTEE

Section 1. The Executive Committee shall be comprised of the Chairperson, the Vice Chairperson, the Treasurer, the Secretary, a Student Trustee and at least one other member of the Board of Trustees to be chosen by the Chairperson. The Presdient/CEO is a non-voting member of the Executive Committee.

Section 2. The Executive Committee shall exercise all powers of the Board of Trustees between meetings of the Board, subject to the approval of the Board at its next meeting. Any action of the Executive Committee shall require the concurrence of a majority of its members.

Section 3. Upon recommendation of the Executive Committee, the Board of Trustees for good cause and after opportunity for a hearing, shall have the power to remove Board Members from their position as Trustee upon receiving a two-thirds vote of the entire Board. This provided that said member shall have been notified personally, or by registered mail at least ten days before said hearing, of the time and place of the hearing and the nature and cause put forward for removal.
