| BY-LAWS OF THE BACCHUS NETWORK

ARTICLE V. BOARD OF TRUSTEES
Section 1. The governing body of BACCHUS shall be the Board of Trustees consisting of up to but not exceeding 20 voting members, including the Chairperson, the Vice Chairperson, the Treasurer and the Secretary. The Board shall include two current student members of BACCHUS affiliates. The President/CEO is a non-voting member of the Board of Trustees.
Section 1 a. The Board of Trustees may appoint retiring Trustees to the position of Trustee Emeritus recognizing their service to the organization. A Trustee Emeritus shall not count for or against Board quorum or serve as officers of the organization, but they are invited to participate and vote during any Board meetings they attend.
Section 2. Each non-student Trustee shall serve for a term of two years or until the election of a successor, without limitation as to the number of successive terms a Trustee may serve. Student Trustees shall serve for one-year terms. Student Trustees shall be elected annually at each General Assembly and the duration of their term shall be until the following General Assembly. Student Trustees may only serve one term, and must be an undergraduate student when elected at the General Assembly, and upon election, the Student Trustee must remain in an active position within an affiliate as a member, advisor or consultant for the length of their term.
Section 3. The Board of Trustees shall control and manage the affairs and funds of BACCHUS in conformity with the Articles of Incorporation and these By-laws.
Section 4. The Board of Trustees may adopt rules to govern its proceedings. It also shall:
a. Exercise authority over the acquisition and disposition of property and
equipment of BACCHUS.
b. Supervise the management and financial administration of BACCHUS.
c. Adopt the annual budget of BACCHUS.
d. Approve contracts and grants for BACCHUS.
Section 5. The Board of Trustees shall meet at such time and place as may be determined by (a) the action of the Board, (b) the call of the Chairperson, or (c) the written request of five Trustees; provided that there shall be at least one meeting each year. Written notice of the time and place of all meetings of the Board of Trustees shall be mailed to each Trustee by the Executive Director not less than ten days prior to the meeting.
Section 6. A majority of the members of the Board of Trustees shall constitute a quorum for the transaction of all business, unless a larger vote is required by these By-Laws.
Section 7. Members of the Board of Trustees, or of any committee or council whose members are designated by the Board, may participate in a meeting of the Board of Trustees or the Executive Committee by means of a conference telephone or similar communications equipment.
Section 8. The Board of Trustees shall designate the members of the Nominating Committee, as provided for in these By-laws.
Section 9. The Board of Trustees may designate such other standing or special committees as may, from time to time, be deemed advisable and may designate and remove members and officers of those committees.
Section 10. The Board of Trustees shall fill any vacancy in officers or on the Board of Trustees for the unexpired term.
Section 11. The Board of Trustees may designate an Assistant Secretary to perform the duties of the Secretary in the absence of and subject to the supervision of the Secretary. The Assistant Secretary shall not be an officer and shall continue to serve at the discretion of the Board of Trustees.
